Sale and Purchase Agreement (SPA)

A Sale and Purchase Agreement is the contract that sets out the agreed legal and commercial terms of a property sale.

What It Is

In UAE real estate, SPA is a broad contract term used in both completed and off-plan contexts. It defines the price, parties, property, payment logic, conditions, remedies, and timing obligations that govern the sale relationship before or alongside registration.

What It Is Not

It is not always identical to Form F, and it is not the title deed. In off-plan deals, the SPA often plays a larger developer-buyer role than it does in simple secondary-market transfers.

When It Is Used

Use this term when discussing the main sale contract, deal obligations, default rights, payment plans, or off-plan purchase terms.
